Welcome to Doxa Reviews. These Terms and Conditions ("Terms," "Agreement") govern your access to and use of the software-as-a-service (SaaS) platform, websites, and applications operated by Doxa Reviews ("Company," "we," "us," or "our").
By creating an account, executing an order form, or accessing our platform, you ("Client," "User," or "you") agree to be bound by these Terms. If you are entering into this Agreement on behalf of a company or legal entity, you represent that you have the authority to bind such entity.
1. Description of Service
Doxa Reviews provides an automated customer feedback and review generation SaaS platform. Our software enables Clients to import customer contact data and automatically dispatch review requests via short message service (SMS/text message) and email following customer interactions, alongside managing online reputation metrics across third-party review channels.
2. Account Registration and Eligibility
Account Setup: You must register for an account to use the platform. You agree to provide accurate, current, and complete information and maintain its accuracy.
Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized account access.
Age Requirement: You represent that you are at least 18 years of age and legally capable of entering into binding contracts.
3. Subscription, Fees, and Payment
Subscription Plans: Access to Doxa Reviews is provided on a recurring subscription basis (e.g., monthly or annually) according to the pricing tier selected upon signup.
Billing: Subscription fees are billed in advance on a recurring schedule using the payment method provided. You authorize us to charge your designated payment method for all applicable subscription fees, taxes, and usage charges (such as additional carrier messaging fees).
Late Payments & Failure to Pay: If a payment fails or is past due, we reserve the right to suspend or terminate access to the platform until account balances are settled.
Cancellation: You may cancel your subscription at any time through your account dashboard or by contacting support. Cancellations take effect at the end of the current billing cycle. Subscription fees are non-refundable.
4. TCPA, CAN-SPAM, and Legal Compliance (Client Responsibilities)
Because Doxa Reviews automates SMS and email messaging on your behalf, you explicitly acknowledge and agree that you are solely responsible for compliance with all applicable telecommunications, privacy, and consumer protection laws.
Consent & Opt-In: You represent and warrant that prior to uploading or syncing any end-customer contact information into Doxa Reviews, you have obtained all necessary legally required express written consents, authorizations, and opt-ins from your customers to send them automated transactional and promotional SMS messages and emails under the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, CTIA guidelines, and applicable local privacy laws.
Message Content: You agree not to send messages containing illegal, deceptive, fraudulent, offensive, or prohibited content (including SIFT/SHAFT categories: Sex, Hate, Alcohol, Firearms, Tobacco, Cannabis).
Opt-Out Compliance: Doxa Reviews automatically handles standard "STOP" replies for SMS opt-outs and unsubscribe links for emails. You agree not to override, bypass, or manually re-subscribe end users who have opted out of communications.
Carrier Fees: You are responsible for any carrier-imposed fines, registration fees (such as A2P 10DLC registration), or charges incurred as a result of non-compliant messaging sent from your account.
5. Acceptable Use and Restrictions
You agree that you will not:
Use the service for spamming, harassment, phish marketing, or transmitting unsolicited bulk messaging in violation of law.
Reverse engineer, decompile, copy, modify, or attempt to extract the source code or underlying architecture of Doxa Reviews.
Sell, resell, license, sublicense, or distribute the platform to third parties as a standalone service without explicit written permission.
Use automated scrapers, bots, or tools to access or strain our systems.
6. Proprietary Rights and Data Ownership
Our Intellectual Property: Doxa Reviews retains all right, title, and interest (including all patent, trademark, copyright, and trade secret rights) in and to the platform, underlying code, visual designs, brand assets, and service enhancements.
Client Data Ownership: You retain full ownership of all end-customer contact lists, interaction histories, and business data uploaded to the platform ("Client Data"). You grant Doxa Reviews a worldwide, non-exclusive, royalty-free license to host, copy, transmit, and process Client Data solely to the extent necessary to provide the services described under this Agreement.
7. Third-Party Integrations and Platforms
Doxa Reviews interacts with third-party software (such as POS systems, CRMs, email service providers, SMS gateways, and review platforms like Google, Facebook, or Yelp). We are not responsible for the availability, terms, practices, or policies of third-party platforms. Your use of third-party platforms is governed strictly by their respective terms of service.
8. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE DOXA REVIEWS PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE EXPRESSLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL DOXA REVIEWS, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO DOXA REVIEWS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.
10. Indemnification
You agree to defend, indemnify, and hold harmless Doxa Reviews and its officers, directors, employees, and agents from and against any third-party claims, damages, liabilities, costs, losses, or expenses (including reasonable legal fees) arising out of or related to:
Your violation of these Terms or any applicable law (including TCPA, CAN-SPAM, or privacy regulations).
Your failure to secure required consents from end customers prior to triggering review requests.
Client Data uploaded to or processed through the platform.
11. Termination
Termination for Cause: Either party may terminate this Agreement immediately if the other party materially breaches any provision and fails to cure such breach within 14 days of written notice.
Effect of Termination: Upon termination, your right to access and use the platform will immediately cease. We may retain Client Data for a reasonable period following account closure in accordance with our backup and compliance retention policies.
12. Modifications to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Continued use of the service following notice constitutes acceptance of the revised Terms.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the state in which Doxa Reviews operates, without regard to its conflict of law principles. Any legal suit, action, or proceeding arising out of or related to these Terms shall be instituted exclusively in the applicable local state or federal courts.
